TERMS AND CONDITIONS

Please read these Terms and Conditions carefully before using our website or services. By using our services, you agree to be bound by these Terms and Conditions (“Agreement”) with Micci Marmalade, LLC d/b/a Girlfriends Who Dine (“Girlfriends Who Dine,” “we,” “our,” or “us”). If you are using the services on behalf of an entity, you represent that you have the authority to bind that entity to these terms. The effective date of this Agreement is the date you first access our services.

1. DEFINITIONS

1.1 "Services" refers to the dining events, wine tours, domestic/international trips, excursions, and related activities we offer to our members.

1.2 "Member" means an individual who has registered for our services and participates in our events or purchases tickets for those events.

1.3 "Content" includes all materials, information, and services provided on our website.

1.4 “Event” refers to any gathering organized by Girlfriends Who Dine, including dining experiences, wine tours, domestic/international trips, and other social activities.

2. OWNERSHIP AND RESTRICTIONS ON USE

This website is owned and operated by Girlfriends Who Dine. All materials contained on this site are the copyrighted property of Girlfriends Who Dine. You may not copy, reproduce, republish, upload, post, transmit, or distribute any materials from our site without our prior written consent. You may download one copy of the materials for your personal, non-commercial use, provided that you maintain all copyright and proprietary notices.

By submitting any content to us, you grant us a perpetual, royalty-free, irrevocable, non-exclusive right to use, reproduce, modify, publish, and distribute such content in any medium.

3. CURRENCY

All currency and monetary transactions conducted under this Agreement shall be in United States dollars.

4. BOOKING AND PAYMENT

All travel arrangements are subject to availability and are confirmed only upon receipt of payment. Clients may pay in full at the time of booking or choose a monthly installment plan to maintain their reservation. A non-refundable, non-transferable deposit of $350 is required to secure the booking. Reservations with payments overdue by 30 days will be automatically canceled, and all prior payments, including deposits, will be forfeited. A $250 reinstatement fee applies to reinstate a canceled reservation, in addition to any past due balance. Final payment must be received by the due date on the invoice. Late payments will incur a $100 fee per person. Accepted payment methods include bank wire transfer, money order, cashier’s check, or Zelle.

5. CANCELLATIONS AND REFUNDS

All payments made to Girlfriends Who Dine are non-refundable and non-transferable due to agreements with hotels, airlines, and other vendors. Clients cannot cancel a reservation and receive a refund or transfer the reservation to another person. All clients must acknowledge and accept these Terms and Conditions before their booking is confirmed. Travel insurance is strongly recommended to provide coverage for trip cancellations, interruptions, medical emergencies, or lost or stolen baggage. Clients are encouraged to file claims with their travel insurance provider for reimbursement if needed.

6. CHANGES BY THE CLIENT

Certain changes to reservations may be allowed, including correcting a participant’s name, modifying travel dates, or substituting participants. All change requests must be submitted in writing and are subject to availability and the terms of airlines, hotels, and other service providers. Additional fees may apply. Changes do not entitle clients to a refund and must comply with vendor rules.

7. CHANGES BY THE COMPANY

Girlfriends Who Dine reserves the right to modify or cancel travel arrangements due to unforeseen circumstances, including natural disasters, political unrest, transportation strikes, or insufficient participant numbers. Clients will be offered alternative arrangements or a full or partial refund, as applicable.

8. TRAVEL DOCUMENTS, VISAS, AND TRAVEL INSURANCE

It is the client’s responsibility to ensure they have all required travel documents for their trip, including passports and any necessary visas. Passports should be valid for at least six months beyond the travel dates and may require blank visa pages depending on destination requirements. Some destinations may require visas upon arrival or in advance. Clients are responsible for obtaining and paying for all visas, entry permits, or other documentation required by the countries they will visit. We strongly recommend consulting the consulate or embassy of each destination well in advance of travel. Comprehensive travel insurance, including coverage for trip cancellation, medical emergencies, lost or delayed baggage, and other unforeseen events, is strongly recommended to protect your investment and provide peace of mind during your trip.

9. LIABILITY

Girlfriends Who Dine acts solely as an intermediary between clients and third-party service providers, including airlines, hotels, transportation companies, and local tour operators. We are not liable for any loss, damage, injury, delay, or inconvenience caused by third-party providers. Clients assume all risks associated with travel and activities.

10. COMPLAINTS

Clients must report any issues or complaints immediately to their tour representative or local operator during the trip. If unresolved, a formal written complaint must be submitted within 14 days of returning from the trip. Failure to do so may affect any compensation claim.

11. ROOMATE MATCHING

Roommate matching is available for trips. Clients who participate agree to share accommodations for the entire trip. Conflicts between roommates are the responsibility of the clients, and the company is not liable for additional accommodations. If a roommate’s reservation is canceled, you may either join the roommate matching program or pay the single supplement fee to secure your own room.

12. AIRLINE AND HOTEL POLICIES

Airline seats are assigned at the discretion of the airline, and group flights are economy class only. Clients are responsible for luggage fees, seat selection, and compliance with airline policies. Hotels may assign rooms according to availability, and bed type requests cannot be guaranteed. All unused services, including meals, transfers, or accommodations, are non-refundable.

13. HEALTH, VACCINATIONS, AND ACCESSIBILITY

Clients must be in suitable physical condition to participate in the activities offered. Travelers with chronic illness, disabilities, or other health concerns should consult their doctor before booking. International accommodations and cruises may not comply with ADA requirements, and wheelchairs, walkers, or scooters may not be accommodated on motor coaches or river cruises. The company is not responsible for medical emergencies, extra hotel stays, or alternative arrangements. Clients should consult their healthcare provider 4-6 weeks prior to departure to confirm any required or recommended vaccinations and medications for their destinations.

14. REGISTRATION, PASSWORD, AND SECURITY

When you register for our services, you will create an account and provide certain information. You are responsible for maintaining the confidentiality of your account details and for all activities that occur under your account. If you suspect any unauthorized use of your account, you must notify us immediately.

15. OBLIGATIONS OF MEMBERS

Members agree to provide accurate and up-to-date information during registration and to inform us of any changes. Members shall comply with all applicable laws and regulations while using our services.

16. PAYMENT TERMS

All fees for events and merchandise will be clearly stated at the time of purchase. Payment must be completed by the due date specified. Failure to pay within the specified time will incur a late fee of $50 or 1.5% of the outstanding balance, whichever is greater, for each month that the payment is overdue.

17. CANCELLATIONS AND REFUNDS

Purchaser understands that all ticket purchases are final. There are no refunds for tickets or cancellations of events once payment has been processed. By purchasing a ticket, you acknowledge and agree to these terms.

18. MODIFICATION OF TERMS

We reserve the right to change these Terms of Service at any time. All changes will be posted on our website, and your continued use of our services after any changes signifies your acceptance of the new terms.

19. TERMINATION

We may terminate this Agreement at any time, with or without notice, for any reason. Upon termination, you must cease all use of our materials and services.

20. DISCLAIMER

The materials and services on this site are provided "as is" without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

21. LIMITATION OF LIABILITY

Under no circumstances shall Girlfriends Who Dine be liable for any indirect, incidental, or consequential damages arising from your use of our services. In no event shall our total liability exceed the amount you paid for access to our services.

22. CONFIDENTIALITY

All information shared between members and Girlfriends Who Dine is considered confidential. Members agree not to disclose any confidential information to third parties without prior consent.

23. INTELLECTUAL PROPERTY

Members acknowledge and agree that all content, methodologies, concepts, software, technology, systems, and procedures incorporated in our services are the sole and exclusive property of Girlfriends Who Dine and are protected by applicable laws, including copyright, trademark, patent, trade secret, and other intellectual property rights. Members may not copy, reproduce, modify, distribute, reverse-engineer, or use these materials for their own purposes, except as expressly authorized by this Agreement.

24. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to:

25. PHOTOGRAPHY RELEASE

Members acknowledge and agree that photographs and videos may be taken during events and trips. By participating in our events, you consent to the use of your image and likeness in promotional materials, including but not limited to website content, social media, and marketing materials, without compensation or further approval.

26. TRIP LIABILITY WAIVER

Before participating in any wine tour, domestic, or international trips organized by Girlfriends Who Dine, Members agree to sign a Trip Liability Waiver. This waiver outlines the risks associated with travel and confirms that Members understand and accept these risks. Participation in any trip is contingent upon signing this waiver.

27. WAIVER

No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or any other term or condition. Any failure by Girlfriends Who Dine to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.

28. OTHER PROVISIONS

All services are provided “as is” without warranties. Members are responsible for their accounts and confidentiality. Legal fees arising from disputes are the responsibility of the Member. All prior agreements are superseded by these Terms and Conditions.

29. ATTORNEY FEES

In the event of any dispute arising from this Agreement, the Member agrees to be responsible for all legal fees, costs, and expenses incurred by Girlfriends Who Dine, including but not limited to attorney fees, arbitration fees, and court costs. This obligation applies regardless of the outcome of the dispute, and the Member shall be liable for these costs even if Girlfriends Who Dine does not prevail in the action.

30. CUSTOMER PRIVACY

The parties acknowledge and agree that each respects and has an obligation to protect the customer’s right to privacy. We are committed to safeguarding your personal information in accordance with our Privacy Policy, which can be reviewed on our website at www.girlfriendswhodine.com.

31. ENTIRE AGREEMENT

These Terms of Service constitute the entire agreement between you and Girlfriends Who Dine regarding the use of our services and supersede any prior agreements.

32. JURISDICTION

This site is controlled and operated by Girlfriends Who Dine from within the United States. These Terms of Service shall be governed by the laws of the State of Texas. You agree that any legal action arising out of or related to these terms shall be filed only in the state or federal courts located in Fort Bend County/Houston.

33. TIPPING GUIDELINES

Suggested gratuities:

  • Drivers: $5–$10 per person per day

  • Tour Guides: $10–$20 per person per day

34. PASSENGER AGREEMENT

All travelers must complete a Passenger Agreement acknowledging these terms before receiving travel documents.
